• Comprehensive Employment Law and Compliance Advice and Planning to Employers.
Includes advice on all state and federal laws affecting employers; wage and hour audits, advice and planning; overtime claims, employee management; defense of all employment law claims and regulatory actions, including claims of discrimination and workplace misconduct and wage and hour claims; workforce reductions; use and management of contingent workforce; discrimination and sexual harassment awareness and training;

Professional Employer Organizations (PEO), Temporary Staffing Companies, and Human Resources Outsourcing Companies,
and provides advice in the areas of employment law, co-employment / contingent workforce issues, contracts, licensing, regulatory defenses, litigation in state and federal courts, mergers and acquisitions, workforce management, and insurance (workers compensation and health. The Firm serves as outsourced general counsel to such companies and provides as-needed advice and strategic planning.

•  State Unemployment Insurance Audit and SUTA Dumping Defense.
The Firm has developed an expertise in responding to audits and assessments by state unemployment insurance agencies, and in particular SUTA Dumping allegations. The Firm is currently representing clients against five such audits in three states.

•  Employment Law and Compliance Advice.
All areas of state and federal laws that affect employers and/or the workplace.

•  Workplace Misconduct Defense.
This includes responding to charges, demands, complaints, inquiries and demands of governmental agencies such as the EEOC, Department of Labor, and state agencies.

•  Contract Drafting, Review and Negotiations.
Includes all types of business contracts, employment agreements, PEO agreements, temporary staffing contracts, and HRO agreements.

•  Corporate Formation.
The Firm regulatory assists businesses and individuals in the formation of corporate entities in multiple jurisdictions, including C corporations, Limited Liability Companies (LLCs). and partnerships.

•  Mergers and Acquisitions and Business Transactions.
The Firm provides advice and counsel on all types of business transactions, and conducts due diligence in anticipation of transactions. The Firm has completed numerous acquisitions on behalf of clients, with an emphasis on staffing company, PEO, and Human Resources Outsourcing company transactions. As General Counsel for Outsource International, Inc., Mr. Nugent completed more than thirty acquisitions of temporary staffing companies and PEOs.

Representing businesses in state and federal courts.

•  Regulatory Defense.
The Firm regularly represents employers against regulatory audits, assessments, complaints, and charges brought by state and federal agencies, including the EEOC and state counterparts, the federal Department of Labor, Department of Homeland Security (formerly INS), and state unemployment agencies.
